TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of the Tiny Portals website (Digital Address: https://www.tiny-portals.com/) and services ("Service", "Platform"), provided by Dalibor Belić PR, Sindeliceva 47, Becej, 21220, Serbia, VAT: 112708937 ("Owner"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

The Service is offered exclusively online via browser access and is not available for download or local installation. Certain features of the Service are only available to registered users who have created a profile and accepted these Terms.

By clicking on a box next to "I accept Terms of Service" and then button "Register", user is creating a user profile on the Platform, and acknowledges that they have read, understood, and agree to be legally bound by these Terms. Acceptance of these Terms is a mandatory condition for creating a user profile and accessing the full range of functionalities offered by the Platform. If a user does not accept these Terms, they are not authorized to create a profile or use any restricted areas or features of the Service.

These Terms constitute a legally binding agreement between user and the Owner. The Owner makes this Service available as a public offer, and user's acceptance forms a contract under applicable law.

The Platform and these Terms are designed to be in compliance with relevant European Union legislation, including but not limited to: the General Data Protection Regulation (GDPR) (EU) 2016/679, the e-Commerce Directive 2000/31/EC, the Consumer Rights Directive 2011/83/EU, the Digital Services Act (DSA) (EU) 2022/2065, the Payment Services Directive 2 (PSD2) (EU) 2015/2366.

Definitions

For the purposes of these Terms, the following definitions apply:

  • "Service" or "Platform" refers to the Tiny Portals website and all related functionalities, features, and content accessible at https://www.tiny-portals.com/.
  • "Owner" means Dalibor Belic PR, Sindeliceva 47, Becej, 21220, Serbia, VAT: 112708937, the business that owns and operates the Service.
  • "User" means any individual or entity who accesses or uses the Service, whether as a visitor or as a registered user.
  • "Registered User" means every User that opens a profile on Platform.
  • "Profile" means a User account created on the Platform, enabling access to additional features and services.
  • "Portal" means a digital workspace or environment created by a registered user within the Platform, which may include document sharing, user invitations, chat, notes, and meeting scheduling.
  • "Subscription" means a paid plan (monthly, annual, or trial) that grants access to certain features of the Service.
  • "Third-Party Services" refers to services provided by external providers, such as Calendly, Google Sign In and Google Drive which may be integrated into the Platform.
  • "Content" means all data, documents, files, notes, messages, and other materials uploaded, shared, or created by users on the Platform.

1. Purpose

The purpose of these Terms is to set out the conditions under which users may access and use the Tiny Portals Platform, including the creation of profiles, management of portals, sharing of documents, communication between Users, and use of integrated third-party services. These Terms are designed to ensure lawful, secure, and fair use of the Service in accordance with applicable European laws and regulations.

2. Availability of the Platform

The Platform is accessible to all users via browser, providing information about the services offered by the Owner. The information society service provided by the Owner is available exclusively to Registered Users, who have created a profile and accepted these Terms.

Alternatively, users can register a profile through Google Sign In. Those Registered users will access their profile in this way. These users are also allowed to register a profile without a third-party involvement.

The Platform is generally available 24 hours a day, 7 days a week. Temporary unavailability may occur due to scheduled maintenance or unforeseen technical issues; however, the Platform is intended to be available at least 97% of the time on an annual basis. The Owner will make reasonable efforts to inform Users in advance of any planned downtime.

3. Obligations of the Owner

The Owner shall:

  • Provide access to the Platform and its functionalities in accordance with these Terms.
  • Ensure the security and integrity of the Platform, including the protection of User data in compliance with applicable laws and regulations.
  • Maintain the Platform and perform necessary updates and improvements to ensure its proper functioning.
  • Inform Users of any significant changes to the Platform, these Terms, or the availability of services.
  • Provide support to Users regarding the use of the Platform, within reasonable limits and as described on the Platform.

4. Obligations of the User

The User shall:

  • Use the Platform in accordance with these Terms and all applicable laws and regulations.
  • Provide accurate, current, and complete information when creating a profile and keep such information up to date.
  • Maintain the confidentiality of login credentials and not share access to the User's profile with third parties.
  • Refrain from any activity that may compromise the security, integrity, or availability of the Platform.
  • Not use the Platform for unlawful, fraudulent, or abusive purposes, including but not limited to the sharing of illegal content or unauthorized access to other Users' data.
  • Respect the rights of other Users and third parties, including intellectual property rights and privacy.

5. Account Creation and Security

To access the full range of services provided by the Platform, the User must create a profile and become a Registered User. Account creation requires the User to provide accurate, current, and complete information as requested by the Platform. The Owner reserves the right to refuse registration or to suspend or terminate any account that contains false, incomplete, or misleading information.

The Registered User is responsible for maintaining the confidentiality of login credentials and for all activities that occur under the Registered User's account. The Registered User must immediately notify the Owner of any unauthorized use of the account or any other breach of security. The Owner shall not be liable for any loss or damage resulting from the Registered User's failure to comply with these security obligations.

6. Subscription and Trial Period

Access to certain features and services on the Platform is subject to a paid subscription. The Platform offers different subscription plans, including monthly and annual options, as well as a 14-day free trial period for new Registered Users. The details of available subscription plans and applicable fees are provided on the Platform.

The subscription will automatically renew at the end of each billing period unless the Registered User cancels the subscription before the renewal date. Upon cancellation, the Registered User retains access to the subscribed services until the end of the current paid period. After the expiration of the paid period, access to subscription-based features will be terminated.

The Owner reserves the right to modify subscription plans, fees, or the terms of the trial period at any time, with prior notice to Registered Users as required by applicable law.

7. Description of Services

The Platform provides an online environment designed to facilitate business collaboration and information sharing. The main features and functionalities of the Platform include:

The Platform enables Users to access information about the services offered by the Owner and, upon registration, to utilize a range of digital tools for business communication and document management.

7.1. Portal Creation and Management

Registered Users may create one or more Portals within their account. Each Portal serves as a dedicated digital workspace, allowing the Registered User to organize, manage, and control access to documents, communications, and other resources.

7.2. Inviting Users and Sharing Documents

Registered Users may invite other Users, both within and outside the Platform, to join a Portal or collaborate on specific tasks. Invitations may be sent via email or through the Platform's internal features. Registered Users may upload, share, and manage documents such as invoices, contracts, and other business files within their Portals.

7.3. Notes, Chat, and Meeting Scheduling

The Platform provides tools for creating and managing notes, real-time chat between Users, and scheduling meetings. Meeting scheduling is facilitated through integration with third-party services, such as Calendly (link: https://calendly.com/legal) and Google Drive (link: https://www.google.com/drive/terms-of-service/), allowing Registered Users to organize appointments efficiently.

7.4. Third-Party Services Disclaimer

Certain functionalities of the Platform, including meeting scheduling, rely on third-party services (e.g., Calendly and Google Drive). The use of such third-party services is subject to the terms and conditions and privacy policies of the respective providers. The Owner is not responsible for the availability, accuracy, or security of third-party services, and the User is solely responsible for complying with any applicable third-party terms when using these integrated features.

8. User Content and Data

Registered Users may upload, store, and share documents and other content ("User Content") through the Platform. The Registered User is solely responsible for ensuring that all User Content complies with applicable laws and does not infringe the rights of third parties.

8.1. Data Ownership and Responsibility

All rights, title, and interest in and to the User Content remain with the Registered User. By uploading or sharing User Content on the Platform, the Registered User grants the Owner a limited, non-exclusive, and revocable license to store, process, and display such content solely for the purpose of providing the services described in these Terms. The Registered User is responsible for the accuracy, legality, and appropriateness of all User Content.

8.2. Data Storage Locations

User Content and data are stored on servers located in Frankfurt, Germany. The Platform utilizes cloud infrastructure provided by Vercel (Neon), with all primary data storage and processing taking place within the European Union.

8.3. Data Security Measures

The Owner implements appropriate technical and organizational measures to protect User Content and data against unauthorized access, loss, alteration, or disclosure. All data stored on the Platform is encrypted both at rest and in transit, ensuring that information remains protected during storage and transmission. Access to User Content and data is strictly limited to authorized users who have the necessary permissions; no other parties can view or access such data without proper authorization. The Owner may access and process Users' IP addresses for security, technical, and legal compliance purposes, as described in the Privacy Policy.

While the Owner strives to ensure a high level of security, no system can be guaranteed to be completely secure. The Owner shall not be liable for any unauthorized access or loss of data that occurs despite the implementation of reasonable security measures.

9. Prohibited Activities

The following activities are strictly prohibited on the Platform:

  • Using the Platform for any unlawful, fraudulent, or malicious purpose.
  • Uploading, sharing, or distributing content that is illegal, offensive, defamatory, obscene, or infringes the rights of third parties, including intellectual property rights and privacy.
  • Attempting to gain unauthorized access to the Platform, other Users' accounts, or any systems or networks connected to the Platform.
  • Interfering with or disrupting the integrity, security, or performance of the Platform or its underlying infrastructure.
  • Using automated means, such as bots, scripts, or scrapers, to access, collect, or harvest data from the Platform without the prior written consent of the Owner.
  • Impersonating any person or entity, or misrepresenting affiliation with any person or entity.
  • Circumventing or attempting to circumvent any security or authentication measures implemented by the Platform.
  • Engaging in any activity that could damage, disable, overburden, or impair the Platform or interfere with any other User's use of the Platform.

9.1. Internal Protection Mechanisms

The Owner has established internal mechanisms to monitor and address prohibited activities and potential abuses on the Platform. If a User becomes aware of any misuse, violation of these Terms, or unlawful activity by another User, the User is encouraged to promptly report such incidents to the Owner using the contact information provided on the Platform (email dan@tiny-portals.com).

The Owner will review all reports in a timely manner and take appropriate action, which may include investigation, suspension, or termination of access for Users found to be in violation of these Terms.

The Owner reserves the right to investigate and take appropriate legal action against any User who, in the Owner's sole discretion, violates this provision, including suspension or termination of access to the Platform.

10. Intellectual Property

10.1. Ownership of Platform and Content

All intellectual property rights in and to the Platform, including but not limited to the software, design, text, graphics, logos, trademarks, and all other content created or provided by the Owner ("Platform Content"), are and shall remain the exclusive property of the Owner or its licensors. Except as expressly permitted by these Terms, no part of the Platform Content may be copied, reproduced, distributed, modified, or used in any manner without the prior written consent of the Owner.

10.2. User-Generated Content

Registered Users may upload, create, and share content ("User-Generated Content") through the Platform. The Registered User retains all rights, title, and interest in and to their User-Generated Content. By uploading or sharing User-Generated Content on the Platform, the Registered User grants the Owner a limited, non-exclusive, royalty-free, and revocable license to use, store, process, analyse and display such content solely for the purpose of providing the services described in these Terms. Registered User is sharing content with another Registered User by their own will, and the Owner of the Platform provides a way for these shares to be done.

The Registered User represents and warrants that they have all necessary rights and permissions to upload and share User-Generated Content and that such content does not infringe the rights of any third party. The Owner does not claim ownership of User-Generated Content and is not responsible for any loss, misuse, or unauthorized access to such content, except as required by applicable law.

11. Privacy and Data Protection

The Owner is committed to protecting the privacy and personal data of Users. All collection, processing, and storage of personal data through the Platform are governed by the Owner's Privacy Policy (Link: https://www.tiny-portals.com/privacy-policy). The use of cookies and similar technologies on the Platform is detailed in the Cookie Policy (Link: https://www.tiny-portals.com/cookie-policy). Both policies are integral parts of these Terms and are available for review on the Platform. By using the Service, the User acknowledges and agrees to the terms of the Privacy Policy and Cookie Policy.

12. Limitation of Liability and Disclaimers

The Platform and all services are provided on an "as is" and "as available" basis. While the Owner strives to ensure continuous availability of the Platform, the Owner does not guarantee that the Platform will be uninterrupted, error-free, or available at all times. Temporary interruptions may occur due to maintenance, updates, or unforeseen technical issues.

The Platform may include integrations with third-party services, such as Calendly and Google Drive. The Owner is not responsible for the availability, accuracy, or security of third-party services, nor for any acts or omissions of third-party providers. Use of such services is at the User's own risk and subject to the terms and policies of the respective third parties.

To the maximum extent permitted by applicable law, the Owner shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the use or inability to use the Platform, including but not limited to loss of data, loss of business, or loss of profits. No warranty, express or implied, is given regarding the Platform or its functionalities.

13. Termination and Suspension

The Owner reserves the right to suspend or terminate a User's access to the Platform at any time, with or without notice, if the User violates these Terms, engages in prohibited activities, or if required by law.

Upon termination or suspension, the User's right to access the Platform and its services will immediately cease. In the event of termination, the Registered User will retain access to paid services until the end of the current subscription period, unless termination is due to a serious breach of these Terms. After termination, the Owner may delete or deactivate the User's profile and any related content, subject to applicable legal obligations regarding data retention.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Serbia.

Any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, or the services provided, including the validity, interpretation, or performance thereof, shall be finally resolved by business arbitration seated within the European Union, at the choice of the claimant (User or Owner). Alternatively, the claimant may choose to submit the dispute to the competent courts in Belgrade, Republic of Serbia.

The language of the arbitration shall be English, unless otherwise agreed by the parties. The decision of the arbitral tribunal shall be final and binding on the parties.

14.1. Changes to Terms

The Owner reserves the right to modify or update these Terms at any time. Users will be notified of any material changes to the Terms through the Platform or by email, where possible. Continued use of the Platform after such changes have been communicated constitutes acceptance of the updated Terms. If a User does not agree to the revised Terms, the User must discontinue use of the Platform.
